Job Summary
- Hybrid position located in Dallas, TX
- Days onsite may vary, but you can expect 1-3 days (minimum) working onsite each week.
The Governance & Administration Manager supports senior leadership in administration and management. The focus is on governance for boards and committees. This role maximizes the leader's effectiveness for organizational duties. It includes oversight, maintenance, and adherence to all boards and committees. The role supports leadership throughout the system. This position works with the Board's Governance leadership on projects and reporting. Duties include committee charters, board input, and regulatory expectations. The position ensures all reporting requirements are met. It also provides high-level administration and coordination with other managers.
Essential Functions Of The Role
- Delivers an organized management, workflow, and calendar system for the senior/executive leader's workload. Ensures coordination, timely work product, and ease of partnership. Proactively develops agendas and materials for senior/executive's huddles within the C-Suite, key executives, and BSWH leadership. Includes creation of presentation materials.
- Oversees management of the leader's calendar, including scheduling, rescheduling, and prioritizing as needed. Schedules many meetings with managers, board members, physicians, outside counsel, and associates. Prepares agendas, arrangements, and logistical details. Provides high-level daily administrative support to senior/executive manager, including calendar prioritization, reporting, and related support.
- Completes all travel arrangements for the senior manager. Prepares travel itineraries, arranges flights, hotel reservations, and transport details. Prepares expense reports promptly and submits reimbursement claims.
- Manages timelines and deadlines to support leadership. Develops a deep understanding of responsibilities to coordinate and support proactively. Focuses on defining and tracking multiple projects for prioritization and management.
- Develops a standardized process for committee oversight based on charters, board input, and regulatory expectations. Conducts annual reviews to ensure charter requirements are met. Standardizes planning for boards and committees under the senior/executive leader's responsibility for consistency.
- Responsible for recording and maintaining continuing education requirements. This ensures all areas of focus, practice, and specialization are met. Facilitates identification of learning offerings. This enables timely completion and maintenance of licensure and credentialing requirements.
- Evolves electronic files to support the senior/executive manager’s function.
- Performs other position appropriate duties as required in a competent, professional and courteous manner.
Key Success Factors
- Experience working with high level executives, Board members and board committees.
- Working knowledge of Board governance structures and board meeting structures.
- Professional knowledge of administrative practices and procedures. Ability to manage multiple priorities and track details in a fast-paced environment.
- Ability to deal with all levels of staff, management, and the public, under highly stressful conditions while maintaining confidentiality.
- Ability to make judgments and develop solutions. Establish appropriate actions in complex, ambiguous situations not covered by existing policies.
- Professional computer skills include desktop publishing, project management, spreadsheets, and database management. Proficient in MS Office and setting up audio-visual equipment for meetings.
- Prefer experience in Diligent governance software, including the Board Portal, PowerPoint, and other governance-related tools.
- Extensive professional experience in managing reporting requirements and deliverables as required.
