Job Description:
We are seeking a highly skilled Senior Accounting Manager with subject matter expertise in external financial reporting, particularly related to mergers and acquisitions (M&A). The ideal candidate will independently manage and execute the most complex aspects of external financial reporting, focusing on accounting and disclosure requirements arising from significant M&A transactions. This includes pro forma financial information, purchase price accounting, and integration-related disclosures. The role demands a deep mastery of US GAAP, particularly business combinations (ASC 805), and SEC reporting requirements (including Form 8-K, Form 10-Q, Form 10-K) as they relate to M&A activities.
Responsibilities:
Independently manage and execute complex external financial reporting tasks with a focus on M&A transactions.
Leverage deep individual mastery of US GAAP and SEC reporting requirements related to M&A activities.
Take full ownership of critical M&A reporting deliverables, ensuring timely and accurate preparation.
Ensure strict adherence to SOX requirements specifically related to external financial reporting impacted by M&A.
Identify, develop, and implement advanced strategies to improve and streamline external financial reporting processes for M&A.
Conduct detailed analysis of financial statement impacts resulting from M&A transactions, providing expert insights.
Collaborate with various teams involved in M&A, including Legal, Corporate Development, Integration Teams, FP&A, and External Auditors.
Minimum Qualifications:
Bachelor's degree in Accounting or Finance
CPA certification
Progressive accounting experience with deep expertise in external financial reporting and M&A transactions
Master-level understanding of US GAAP, particularly ASC 805, and SEC reporting requirements
Advanced proficiency with ERP systems (e.g., SAP) and consolidation/reporting tools (e.g., Hyperion)
Outstanding analytical, problem-solving, and communication skills
Ability to manage and execute multiple complex external financial reporting tasks related to major M&A projects
Additional Skills & Qualifications
Experience with large companies or large private companies and public accounting
Expertise in SEC filings (10-Q, 10-K)
Knowledge of IFRS and revenue recognition
Pay and Benefits
The pay range for this position is $85.00 - $105.00/hr.
